1. Scope of Agreement
These Terms of Service govern your access to and use of the website, consultation scheduling tools, and project intake portals provided by Incrip LLC (“Incrip”, “we”, “us”). Formal software engineering engagements, custom development sprints, and managed infrastructure services are subject to definitive Master Services Agreements (MSAs) and Statements of Work (SOWs) executed between Incrip and the client.
2. 100% Client Intellectual Property Ownership
Incrip LLC operates under a definitive principle of full intellectual property transfer. Upon full payment of project milestone fees as set forth in an applicable SOW, all custom software deliverables, production source code repositories, database architectures, and graphical user interface assets engineered for the client become 100% the sole property of the client. Incrip imposes zero proprietary vendor lock-in or recurring licensing penalties on custom client deliverables.
3. Mutual Confidentiality & Non-Disclosure
Both parties agree that all confidential information—including business logic, project scopes, technical architectures, source code, and commercial financial data—disclosed during discovery calls or via web forms shall be held in strict confidence and protected with the same degree of care as each party exercises regarding its own proprietary assets.
4. Professional Service Delivery & SLAs
Engineering projects are delivered through transparent agile sprint cycles with predefined acceptance criteria. For enterprise cloud and managed infrastructure engagements, specific uptime guarantees (including our 99.9% High-Availability SLA and 15-minute emergency response windows) are formalized in service-specific agreements.
5. User Responsibilities & Acceptable Use
You agree not to use our web platforms or communication endpoints to submit fraudulent inquiries, transmit malicious code or automated scrapers, or attempt unauthorized access to our underlying infrastructure.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Incrip LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our digital platforms or reliance on preliminary informational materials prior to the execution of a binding contract.
